LAW-6393 FRANCHISE REGULATION
This course involves the study of franchise and distribution law, with a particular emphasis on state and federal regulations. The course will cover an analysis of the components of a franchise system alternatives to franchising, and state and federal regulations of a franchise. Particular emphasis will be given to drafting and negotiating franchise agreements and the uniform franchise offering circular required by the Federal Trade Commission. State statues and administrative regulations that affect franchising will be examined, and there will be an analysis of franchise litigation with an emphasis on Florida law. The course will also cover alternatives to litigation with an examination of federal and state arbitration procedures that affect the franchise process. There will also be a discussion of ethics and due diligence as it pertains to the franchise lawyer.
