LAW-5420 BUSINESS PLANNING
This is a practical hands-on course devoted to the many aspects of planning for a business. Students in this paper course will individually and on a team basis: 1) Plan and draft legal documents at business inception (using Florida law); 2) Plan and draft legal documents for raising capital, including private offering memoranda; 3) Plan and draft legal documents for the sale of a business, including letter of intent, confidentiality agreement, and acquisition agreement; 4) Plan and draft legal documents for business liquidation and sale of assets. The course objective is to be competent as a practitioner in handling business issues that arise from privately held corporate entities and other such entities.
